Terms of Service

These Terms of Service govern your access to and use of hawaiirem.com and related services provided by Hawaii Real Estate Management Company LLC.

Welcome to Hawaii Real Estate Management Company LLC ("Hawaii REM," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of hawaiirem.com and related services (collectively, the "Platform").
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Use of the Platform

You must be at least 18 years old and capable of forming a binding contract. You agree to use the Platform only for lawful purposes and in compliance with all applicable laws, including housing and anti-discrimination laws.
We provide an online marketplace connecting property owners, managers, agents, and renters. We act solely as an intermediary and are not a party to any lease, booking, or sale contract between users.

2. Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. We reserve the right to suspend or terminate accounts for suspected fraud, abuse, or violation of these Terms.

3. Listing and Booking

Owners and managers may list properties and set prices. Renters or guests may book and pay through Stripe. A booking or lease is formed when payment is processed or a lease is signed, as applicable. Hawaii REM is not a contracting party to leases or rental agreements.

4. Fees and Payments

Stripe processes all payments. We may charge service or transaction fees disclosed at checkout. Fees are non-refundable except as required by law or our written policies. Taxes are the responsibility of the applicable party (buyer, renter, or owner).
Funds may be disbursed to owners or managers after Stripe confirms settlement. We are not an escrow agent and do not hold client funds except as Stripe permits.

5. Refunds and Cancellations

Cancellations and refunds are subject to the property owner's or manager's posted policies. Hawaii REM may facilitate refunds through Stripe but is not obligated to refund payments absent owner authorization or legal requirement.

6. User Content

Users may post photos, reviews, property information, messages, and other content. You retain ownership of your content but grant Hawaii REM a worldwide, royalty-free, sublicensable license to host, display, reproduce, and promote it for operation of the Platform.
You may not post content that is illegal, fraudulent, discriminatory, defamatory, pornographic, or otherwise offensive. We may remove or disable content at our discretion.

7. DMCA Policy

We comply with the U.S. Digital Millennium Copyright Act. If you believe content infringes your copyright, send a notice to our Designated Agent at info@hawaiirem.com including all required elements under 17 U.S.C. §512.

8. Prohibited Conduct

You agree not to:
  • Use the Platform for unlawful or deceptive purposes;
  • Circumvent fees or interfere with other users' listings or transactions;
  • Collect or harvest user data without consent;
  • Upload malware or engage in security attacks.

9. Disclaimers

The Platform and all content are provided "as is" without warranties of any kind. Hawaii REM makes no guarantees regarding accuracy of listings, availability, or suitability of properties. We are not liable for the acts or omissions of users or third parties.

10. Limitation of Liability

To the maximum extent permitted by law, Hawaii REM and its officers, members, employees, and agents shall not be liable for any indirect, consequential, or punitive damages arising from your use of the Platform. Our aggregate liability shall not exceed the amount you paid to us in the preceding 12 months.

11. Indemnification

You agree to defend, indemnify, and hold harmless Hawaii REM from any claims, damages, losses, or expenses arising out of your use of the Platform, your content, or your breach of these Terms.

12. Arbitration Agreement and Governing Law

These Terms and any dispute arising out of them shall be governed by the laws of the State of Hawaii, without regard to conflict-of-law principles.
All disputes shall be resolved by binding arbitration in Honolulu, Hawaii, administered under the rules of the American Arbitration Association. Judgment on the award may be entered in any court of competent jurisdiction.
You waive any right to a jury trial or to participate in a class action.

13. Termination

We may suspend or terminate your account at any time for violation of these Terms or suspected misuse. Upon termination, certain obligations (including payment, indemnification, and limitation of liability) survive.

14. Changes to Terms

We may modify these Terms periodically. Updated versions will be posted on the Platform with a new effective date. Continued use after updates constitutes acceptance.
